AACA BY LAWS (2020)

 

 

 

ARTICLE I – NAME AND PURPOSE

SECTION 1. This Region shall be known as the Florida Region of the Antique Automobile Club of America

 

SECTION 2. The purpose of this Region shall be to supplement the activities of the Antique Automobile Club of America and to provide mutual enjoyment for members through the preservation and restoration of antique automobiles.

 

 

ARTICLE II – EXECUTIVE BOARD

 

SECTION 1. The Executive Board shall consist of ten elected members; the President, Vice President, Secretary, and Treasurer and six other elected members at large.

 

The four elected officers shall hold office for a term of one year commencing on January 1, and terminating on December 31, of the following year. The six elected members at large shall be elected at the time of the annual general election and three would be retained from the prior year, or until their successors are duly elected and qualified. Executive Board members may not serve more that two consecutive terms in the same office.

 

The immediate Past President shall remain on the Board for one additional year becoming the eleventh Board Member for that year with full voting rights. If the Past President chooses not to remain on the Board, the vacancy shall not be filled.

 

SECTION 2. The Executive Board shall have the power to proceed in any manner as may, in their judgment, serve the interest of the Region. The decision of a majority of the Executive Board, requiring a quorum of six members to conduct business on any question, shall be binding until the next regular or special meeting of the Region, when a majority of members present may approve, nullify, or amend such decision.

 

SECTION 3. The Executive Board shall provide for an annual audit of the books of the Region. The books of the region shall be closed as of December 31 of each year, and they shall be audited by two members selected by the Executive Board. The report of the audit shall be submitted to the Executive Board at the February regular board meeting.

 

SECTION 4. The Executive Board shall at the first regular meeting establish a calendar of events for the forthcoming year. This calendar of events shall be submitted to the National Publication and the Bulletin Committee. The calendar of events may be amended by the Executive Board and Changes shall be resubmitted to the National Publication and the Bulletin Committee.

 

 

ARTICLE III – ELECTIONS

 

SECTION 1. A Nominating Committee consisting of four (4) members, no more than two (2) of which may be from the Executive Board, shall prepare a slate of officers and elected members. Said slate shall be published in the December issue of the “Running Board”, and presented at the general meeting. The membership may at the December meeting, present additional nominations for any office open for election. All nominations must have the prior approval of the nominee.

 

SECTION 2. The President shall appoint election tellers from the membership present. Said tellers shall prepare, distribute, collect, count, and report to the membership present, the results of each office open for election. A majority vote of the members present shall constitute election. If no additional nominations are received for any one or all offices open for election, the President shall instruct the Secretary to report a unanimous vote for that office or offices.

 

SECTION 3. Vacancies for any cause shall be filled by a recommendation from the Executive Board and additional nominations, if any, from the membership at the next regular meeting. Election shall be by majority vote of those members present at the regular meeting, said replacement to serve the un-expired term.

 

 

ARTICLE IV – DUTIES OF OFFICERS

 

SECTION 1. PRESIDENT – The Region President shall preside at all meetings of the Region members and of the Executive Board. In the President’s absence the Vice President shall preside. If both the President and Vice President should be absent, the Board may appoint a temporary President to officiate. The President shall appoint Committee Chairmen, subject to the Executive Board approval, at the first meeting of the term of office, and the future times as necessary. Said appointments shall include the following: Membership, Publications, Publicity, and Activities. The President shall appoint a Nomination Committee at the October meeting. The President shall have the power to decide all questions of equal division and have all powers and duties usually vested in the President of an organization.

 

SECTION 2. VICE PRESIDENT – The Vice President shall serve in the absence of the President and shall assist all Committee Chairmen for the year of the term.

 

SECTION 3. SECRETARY – The Secretary shall handle all official correspondence of the Region and shall keep minutes of all meetings of the members and the Executive Board. The Secretary shall keep an up-to-date register of the names and addresses of all members and shall perform such other duties as may be prescribed by the Executive Board and those that pertain to the office.

 

SECTION 4. TREASURER – The Treasurer shall collect and disburse the funds of the Region as may be ordered by the Executive Board. The Treasurer shall render a financial report of the Region at each regular meeting of the members and whenever the President or the Executive Board may require the same. The Treasurer shall give bond at the expense of the Region if required to do so by the Executive Board. The Treasurer shall collect all dues payable by Region members and require the attesting that a member is a National AACA member in good standing.

 

 

ARTICLE V – MEMBERS

 

SECTION 1. Members in good standing of the Antique Automobile Club of America may become members of this Region.

 

SECTION 2. Upon receipt of properly executed application and upon submission of a current National Membership Card, new members shall be accepted or rejected by the Executive Board or Membership Committee if one exists.

 

SECTION 3. DUES – The amount of dues payable to the Regional Treasurer shall be fixed by the Executive Board from time to time at its discretion. All payments of dues shall be made to the Regional Treasurer either in person or by mail. Dues shall be due and payable on January 1 of each year. Dues paid for new memberships effective from October 1 through December 31, shall be considered paid for the following year.

 

SECTION 4. TERMINATION OF MEMBERSHIP – The membership of any Regional member may be terminated by unanimous vote of the Executive Board of the region for conduct unbecoming a member of the Antique Automobile Club of America, or other cause, upon giving the member in question full opportunity to hear and to reply to the charges or reasons for such action. Any member whose regional dues are more that 60 days in arrears shall be dropped from the Region roll.

 

 

ARTICLE VI – MEETING OF THE MEMBERS

 

SECTION 1. The regular meetings, for transaction of the business of the Region shall be held monthly at a time and place designated by the Executive Board and published in the monthly newsletter. A majority of those members present at said meetings shall constitute a quorum and may approve, nullify, or amend motions as may come before the body. Special meetings may be called or regular meetings cancelled by the region President or upon the signed request of three member of the Executive Board or six members of the Region.

 

 

ARTICLE VII – PERSONAL LIABILITY

 

SECTION 1. All persons or corporations extending credit to, contracting with or having claim against this Region or the Executive Board, shall look only to funds and property of the Region for payment for any contract or claim of, for the payment of any debt or any money that may otherwise become due or payable to them from the Region or Executive Board, so that neither the members of the Region, the Executive Board or officers present or future shall be personally liable therefore.

 

 

ARTICLE VIII – REGION REQUIREMENTS BY AACA

 

SECTION 1. The members of any Region shall not, as a group, use the name of the Antique Automobile Club of America in connection with a commercial or charitable project.

 

SECTION 2. A region or its chapters shall not hold any activity in conflict with a National Event of the Antique Automobile Club of America.

 

SECTION 3. Announcements of Regional activities must be sent to the National Vice President in charge of activities.

 

SECTION 4. The names and addresses of all Region officers and members must be sent to the National Secretary Treasurer each year immediately after local elections.

 

SECTION 5. The ANTIQUE AUTOMOBILE CLUB OF AMERICA is a non-profit organization; the members thereof shall not be entitled to any or collective interest, participation, share, right and/or property right in and to the assets of the Club or Region; but such assets shall be the indivisible property of the Club thereof; no dividends, pecuniary profits, stock dividends, or payments of like manner shall ever be declared or paid to the members of this Club or Region thereof.

 

 

ARTICLE IX – CHAPTERS

 

SECTION 1. Upon compliance with the requirements of the National Board of Directors, one or more Chapters may be formed as circumstances dictate within the geographic area of a Region.

 

SECTION 2. The members of every chapter shall be members in good standing of the Antique Automobile Club of America and the parent Region. Each Chapter shall be under the jurisdiction of the Region President unless special exception is authorized by the National Board of Directors.

 

 

ARTICLE X – AMENDMENTS OR ADDITIONS TO BYLAWS

 

SECTION 1. No amendments shall be made that nullify or alter any part of the National Constitution or Bylaws.

 

SECTION 2. Other amendments may be made from time to time by a majority vote of the Region members in good standing upon at least two weeks notice to all Regional members stating the proposed changes.
